Terms and Conditions of Use – Sawa Shopping

1. Introduction
These Terms and Conditions (“Terms”) govern access to and use of the Sawa Shopping website, mobile application, and any related features, tools, or services (collectively, the “Platform”).
By accessing, registering on, or using the Platform in any manner, whether as a Buyer or a Seller, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms, as amended from time to time.
Sawa Shopping operates as a buyer–seller marketplace that enables third-party Sellers to list products and Buyers to place orders. Each Seller operates an independent store on the Platform and sells products in its own name and under its own responsibility. Sellers are required, before creating a new product listing, to verify whether the same product already exists within the Platform’s master product catalog. Where an identical product already exists, the Seller must add its offer to the existing master product listing.
Only where a product does not already exist in the Platform’s catalog may a Seller create a new product entry, which shall nevertheless also appear within the Seller’s individual store.
Sellers may list, distribute, and sell branded or non-branded products through their store, subject to compliance with applicable laws and third-party rights. Each Seller is solely responsible for ensuring that it holds any required authorization, license, or distribution rights for the products it offers, including branded goods.
Sawa Shopping does not verify, guarantee, or assume responsibility for a Seller’s distribution rights, authorizations, or contractual relationships with brand owners or suppliers, and shall not be liable for any claims arising from a Seller’s failure to secure such rights.
The Platform is operated under the commercial name “Sawa Shopping”, which is a service owned and operated by Sawa Group SARL, a company incorporated under the laws of Lebanon.

2. Scope and Applicability
These Terms apply to all Users of the Platform, including Buyers, Sellers, and any other individuals or entities accessing or interacting with the Platform.
Certain provisions apply specifically to Buyers or Sellers; where no distinction is made, the provision applies to all Users. Where applicable law provides mandatory consumer protection rights, such rights shall prevail over conflicting provisions of these Terms.

3. Eligibility and User Representations
By using the Platform, each User represents and warrants that they are at least eighteen (18) years of age, have the legal capacity to enter into binding agreements, and are using the Platform in compliance with all applicable Lebanese laws and regulations.
Users further represent that they are not subject to sanctions, embargoes, or legal restrictions that would prohibit their use of the Platform or participation in marketplace transactions.

4. User Accounts
Access to certain Platform features requires the creation of a user account. Users must provide accurate, complete, and current information during registration and must keep such information up to date.
Each User may maintain only one account unless explicitly authorized by Sawa Shopping. Accounts may not be transferred, assigned, or shared with third parties.
Users are solely responsible for maintaining the confidentiality of their login credentials and for all activities conducted through their account. Any action taken using an account shall be deemed authorized by the account holder.
Users must notify Sawa Shopping without delay if they suspect unauthorized access, misuse, or compromise of their account credentials.

5. Account Suspension and Termination
Sawa Shopping reserves the right, at its sole discretion, to restrict, suspend, or permanently terminate any account, with or without prior notice, if it determines that a User has violated these Terms, engaged in fraudulent or abusive conduct, infringed third-party rights, or otherwise acted in a manner that may harm the Platform, its Users, or its reputation.
Account suspension or termination does not entitle the User to compensation, reimbursement, or damages and does not release the User from obligations incurred prior to termination.

6. Platform Content and Intellectual Property
All materials made available on the Platform, including software, text, graphics, logos, designs, databases, and functionality, are owned by or licensed to Sawa Group SARL and are protected under applicable intellectual property laws.
Users may access Platform content solely for personal, non-commercial use in connection with the intended use of the Platform. Any reproduction, extraction, scraping, modification, resale, or commercial exploitation without prior written authorization is strictly prohibited.
Users may submit content such as product listings, descriptions, images, and reviews. By submitting such content, Users grant Sawa Shopping a non-exclusive, worldwide, royalty-free license to host, use, reproduce, adapt, display, translate, and distribute the content solely for the operation, maintenance, and promotion of the Platform.
Users remain solely responsible for the legality, accuracy, and ownership of the content they submit.

7. Acceptable Use
Users agree to use the Platform lawfully and in good faith. Prohibited conduct includes, but is not limited to, submitting false or misleading information, manipulating prices or reviews, interfering with Platform operations, scraping or harvesting data, using Platform content for unauthorized automated or artificial intelligence systems, impersonating others, or attempting to bypass security measures.
Sawa Shopping may take any appropriate action to protect its legitimate interests, including restricting access or reporting unlawful conduct to competent authorities.

8. Marketplace Structure and Responsibilities
Sawa Shopping, as operated by Sawa Group SARL, provides a technological environment through which Buyers and Sellers may connect and transact. Unless expressly stated otherwise, Sawa Shopping does not take ownership of products listed on the Platform and does not guarantee their quality, legality, or suitability.
Sellers are solely responsible for the accuracy of their listings, compliance with applicable laws, product quality and safety, pricing, taxes, order fulfillment, warranties, and after-sales obligations.
Buyers are responsible for reviewing product information prior to purchase, providing accurate delivery details, inspecting products upon receipt, and reporting issues within applicable timeframes.

9. Orders and Contract Formation
When a Buyer places an order on the Platform, this constitutes an offer to purchase the selected product from the Seller. A binding sales order is formed only once the Seller confirms the order.
Sawa Shopping is not a party to the sales order between Buyers and Sellers unless explicitly stated otherwise.
A Buyer may cancel an order only while the order status remains “Pending.” Once the order has moved beyond the pending stage, cancellation may no longer be possible. He shall wait until the status is “Completed” to issue a Return.

10. Payments
Available payment methods are displayed during checkout and may include cash on delivery and electronic payment options processed by third-party service providers. Sawa Shopping does not store payment card information and receives only confirmation of successful transactions.
If a payment fails, is reversed, or is refused, the associated order may be cancelled.

11. Delivery and Risk
Delivery is performed by Sellers or third-party logistics providers. Risk of loss or damage transfers to the Buyer upon successful delivery to the address provided by the Buyer.
Buyers are responsible for leaving valid notes of delivery instructions and for inspecting products upon delivery and reporting any issues in accordance with the return provisions below.

12. Returns
Unless otherwise stated for specific product categories, Buyers may request a return within fifteen (15) days from the date of delivery, provided that the product returned in its original packaging, and includes all accessories, components, and documentation originally supplied.
Returns of makeup, inflatables, perfumes, or any grocery & gourmet food category is not permitted.
Returns requested due to damaged items, defective items, or incorrect items sent are processed without any return fee.
Returns requested due to change of mind or personal preference are subject to a $3.00 return fee, which will be withdrawn from the Gift Card balance.
Products returned with missing parts, accessories, packaging, or signs of misuse may be rejected.

13. Refund Method and Sawa Gift Card Balance
Approved returns may be refunded either to the original payment method used for the purchase or to the Buyer’s Sawa Gift Card Balance, depending on the option selected and operational feasibility. This excludes Whish payment method as refund has to be done manually by contacting Sawa customer service.
The Sawa Gift Card Balance may be used for any future purchases on the Platform and may be applied during checkout, alone or in combination with other supported payment methods.

14. External Resources and Third Parties (Revised)
The Platform may contain links or references to third-party services, websites, or resources that are provided or maintained by parties other than Sawa Shopping. Sawa Shopping does not control, endorse, or assume responsibility for the content, availability, accuracy, or practices of such third-party services, and access to them is at the User’s own risk.
Users are strictly prohibited from posting, embedding, transmitting, or otherwise making available through the Platform any links, references, or content that direct to third-party services or resources which are unlawful, fraudulent, misleading, defamatory, infringing of intellectual property rights, invasive of privacy, harmful, obscene, or otherwise inappropriate or contrary to applicable laws or public order.
Sawa Shopping reserves the right, at its sole discretion and without prior notice, to remove any such links or content, suspend or terminate the User’s account, and take any additional measures deemed necessary to protect the Platform, its Users, or third parties. Where warranted, Sawa Shopping may also pursue legal remedies or cooperate with competent authorities in relation to any unlawful or prohibited activity.

15. Disclaimers and Limitation of Liability
The Platform and its services are provided on an “as available” basis. To the fullest extent permitted by applicable law, Sawa Shopping disclaims all warranties, whether express, implied, or statutory.
To the maximum extent permitted by applicable law, Sawa Shopping shall not be liable for Seller products, Seller conduct, or disputes between Buyers and Sellers.
Certain warranties, liabilities, or remedies may not be excluded or limited under applicable law, and in such cases, the above limitations shall apply only to the extent permitted.

16. Indemnification
Users agree to indemnify and hold harmless Sawa Shopping and Sawa Group SARL, including their affiliates, officers, directors, employees, and agents, from any claims, damages, losses, liabilities, or expenses arising from their breach of these Terms, violation of applicable laws, infringement of third-party rights, or misuse of the Platform.

17. Privacy
Personal data is processed in accordance with the Sawa Shopping Privacy Policy, which forms an integral part of these Terms.

18. Amendments
Sawa Group SARL, operating the Platform under the Sawa Shopping brand, reserves the right to modify these Terms at any time. Continued use of the Platform following publication of updated Terms constitutes acceptance of such changes.

19. Governing Law and Jurisdiction
These Terms are governed by the laws of Lebanon. Any dispute arising out of or relating to these Terms shall fall under the exclusive jurisdiction of the competent courts of Beirut, unless mandatory consumer protection laws provide otherwise.

20. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

21. Definitions
For the purposes of these Terms and Conditions:
“Platform” means the Sawa Shopping website, mobile applications, and any related digital services operated under the Sawa Shopping brand.
“User” means any individual or legal entity that accesses, registers on, or uses the Platform, whether as a Buyer, Seller, or otherwise.
“Buyer” means a User who places an order for products through the Platform.
“Seller” means a User who lists and offers products for sale through the Platform.
“Order” means a purchase request submitted by a Buyer through the Platform for a product listed by a Seller.
“Sales Order” means agreement formed directly between a Buyer and a Seller upon the Seller’s confirmation of an Order.
“Delivery” means the transfer of physical possession of a product to the Buyer, or to a recipient designated by the Buyer, at the delivery address provided during checkout.
“Return” means the process by which a Buyer sends a product back in accordance with these Terms and the applicable return conditions.
“Sawa Gift Card Balance” means a non-cash store credit issued by Sawa Shopping that may be applied toward future purchases on the Platform and has no cash or withdrawal value.
